Offshore Company Management & Nominee Directors

 

The actual management (directorship and practical operation) of an Offshore Company / IBC will more than likely fall into one of the following two main options:

Option 1: Company directed by the beneficial owner.

The beneficial owner, can be appointed as the Director of the Offshore Company. This appointment will be directly logged in the Public Registry / Registrar of Companies. The Registrar of Director(s) will also be held by the Registered Agent in the Registered Legal Address of the Company. Obviously, the particulars of the Company Director will also show up in the documents of the Company.

Option 2: Company directed by Nominee Director.

In this case the directorship of the company is taken by a professional Director. This position is also commonly known as "Nominee Director". The Directorship service is provided by us and/or our affilates.

The beneficial owner of the company may also appoint anyone else to be the Company Director if they so desire.

Pros & Cons of Nominee Directors.

Should the beneficial owner act as the Director of his offshore company, he/she could face local tax consequences in his/her country of residence. In many high-tax countries, directorship in a foreign (offshore) company may be a reportable event requiring disclosure for tax purposes if it is controlled and managed "mind & management" from within that country, regardless of the fact that the company itself is already incorporated elsewhere. The "place of mind & management" is usually determined for tax purposes as the place where the Directors reside.

More often than not, one of the most important reasons behind forming and using an offshore company is privacy protection & confidentiality, there may be several reasons for this, including personal taxation, protection of assets from divorce and/or litigation, deals between the offshore company and domestic business or the like..
